This Sales Agreement (“Agreement”) is made between the seller and the buyer for the purchase and sale of goods under the terms set forth below.
1. Parties
The “Seller” agrees to sell, and the “Buyer” agrees to purchase, the goods described in this Agreement.
2. Inspection and Acceptance
The Buyer has the right to inspect the goods upon delivery and must notify the Seller within 14 days of any defects or discrepancies. Failure to notify within this period constitutes acceptance of the goods.
3. Warranties
The Seller warrants that the goods are free from defects in material and workmanship at the time of delivery and conform to the agreed specifications. No other warranties, express or implied, are made.
4. Title and Risk
Title to the goods passes to the Buyer upon full payment. Risk of loss passes to the Buyer upon delivery.
5. Returns and Refunds
Returns are subject to the Seller’s policies and applicable Australian consumer laws.
6. Governing Law
This Agreement is governed by the laws of Australia. Any disputes arising under this Agreement shall be resolved under the jurisdiction of Australian courts.
7. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, written or oral, related to the subject matter.
8. Amendments
Any amendments to this Agreement must be made in writing and signed by both parties.
